Terms of Service

The terms for a Querly subscription. Querly is sold to businesses only; these terms apply between your business and L&T Studio V.O.F.

These Terms of Service apply to every Querly subscription. They form the agreement between L&T Studio V.O.F. (vennootschap onder firma), trading as Querly, established in Castricum, the Netherlands, KvK 98045075, VAT NL868336920B01 ("Querly", "we"; our full contact details are on our contact page) and the business that subscribes ("you"). Our Data Processing Agreement is part of these terms.

1. Businesses only

Querly is sold only to businesses, for use in their trade, business, craft or profession. By subscribing, you confirm that you are acting for a business and that the person accepting these terms may bind that business. Querly is not sold to consumers. Consumer protection rules that apply only to consumers therefore don't apply to this agreement.

2. What Querly is

Querly is a desktop app for Windows that listens to your calls and, during the call, suggests the next question to ask, based on a goal or checklist you write. Before a call it can prepare a briefing on that goal. It uses speech recognition and language models from third-party providers, listed on our subprocessors page.

You sign in to the app with your work email. The app then uses Querly's own accounts with these providers: language model requests go through Querly's server in Germany, and call audio is streamed directly to the speech recognition provider with short-lived keys from that server. You don't need accounts or API keys of your own. A subscription can be used on up to two devices at a time, by one person, and runs one call at a time.

3. Your plan and call hours

  • Plan hours. Your plan gives you a number of call hours per monthly period, also when you pay per year: a yearly plan gets its hours again every month, on the day the year started. Unused plan hours don't carry over to the next period.
  • How a call is counted. A call counts from the moment you start the copilot in a meeting until you stop it, per started minute. Our server keeps the count; the app shows how much is left. The app stops a meeting by itself after about 10 minutes without speech, so a forgotten meeting doesn't use up your hours.
  • Extra hours. You can buy extra hours at any time, at €4 per hour excluding VAT, up to 100 per purchase. Extra hours are valid for 12 months from purchase, can be used while you have an active subscription, and are used after your plan hours, the ones that expire first going first. They are not refunded when unused or when the subscription ends, unless the law requires it.
  • Changing plans. On a monthly plan, you can change plans in the billing portal; the price difference for the current period is prorated, and the new plan's hours apply straight away. To change a yearly plan before the year is over, email us.
  • When your hours run out. We warn you in the app when your hours are nearly used up and when they are. If they run out during a call, the call goes on for up to 10 more minutes at no charge, so you can finish your conversation; then the copilot stops. Those minutes are never charged, now or later. A new call can start once you have hours again, for example by buying extra hours.

4. Using Querly lawfully and responsibly

You decide in which calls you use Querly, and you are responsible for that use. In particular:

  • Tell the people in the call, before you start. Querly processes what the other people in the call say. Before you start the copilot, you make sure they are informed, and that you have their consent where the law requires it. The rules differ per country: in some countries, such as Germany, and in some US states, recording or listening in on a conversation without everyone's consent is a criminal offence, even for a participant. The app gives you a sentence to read out; it doesn't replace your own check of the rules that apply to you.
  • No employment decisions. Don't use Querly to assess, select or make decisions about job candidates or employees.
  • No emotion recognition. Don't use Querly to infer the emotions of people in the call.
  • Sensitive data. Avoid using Querly in calls about special categories of personal data, such as health, unless you have a legal basis for it.
  • Your equipment and access. Keep your computer and the Querly app secure, and install the security updates we send you. Don't share your account; sign out a lost or stolen device straight away, in the app or by emailing us. You are responsible for what happens under your account.
  • Fair use. We may limit or pause requests that far exceed normal use, for example after a leaked sign-in or an app stuck in a loop, and tell you.

If you break these rules, we may suspend your access after telling you, or immediately if it is needed to prevent harm.

5. AI suggestions

The questions, briefings and summaries are generated by AI. They can be incomplete, inaccurate or unsuitable for your situation. They are suggestions: you decide what to ask and what to do with them.

6. Prices, payment and VAT

  • Prices exclude VAT and are shown on our website when you subscribe. A plan is paid per month, or per year; a year costs the price of 10 months.
  • You pay in advance for each month, or for each year, through Stripe. You receive an electronic invoice.
  • Customers in the EU, Dutch ones included, give a valid VAT number, which we check with the EU's VIES register. Dutch customers are charged 21% Dutch VAT. For business customers in other EU countries, VAT is reverse charged. For customers outside the EU, no Dutch VAT is charged; any local taxes are yours to account for.
  • If a payment fails, Stripe tries again and emails you. If an amount stays unpaid for 14 days after we have reminded you, we may suspend your access until it is paid, and statutory commercial interest (Article 6:119a of the Dutch Civil Code) applies.
  • We may change prices with at least 30 days' notice by email. A change applies from your next period after the notice ends; if you don't agree, you can cancel before then.

7. Term, cancelling and switching

  • A subscription runs per month or per year, as you chose, and renews automatically for the same term. For a yearly plan, we email you at least 30 days before it renews.
  • You can cancel at any time in the billing portal. Your subscription then ends at the end of the month or year you have paid for; we don't refund the current period, unless the law requires it or the next point applies.
  • Ending a yearly plan early. You can also end a yearly plan before the year is over, for example to switch to another provider, with two months' notice by email. We then refund what you paid for the year, minus the monthly price for each month that has started by the end of the notice period. Because a year costs the price of 10 months, that refund is lower than the unused share of the year; it is never less than zero.
  • Switching and your data. You can end the agreement and move to another provider at any time, with at most the notices above (at most two months), and we complete the switch within 30 days after your notice. We charge nothing for switching. Your meeting notes, transcripts and briefings are stored on your own computer (see the DPA). They stay there until you delete them, or for the period you set in the app; you can copy them at any time and keep them after the subscription ends. For 30 days after the subscription ends you can ask us for an export of what our server holds for you: your account, devices and call-hour records, as JSON or CSV. After that, we delete it within the periods in our privacy statement; invoices we keep as long as the law requires. Our server is in Germany, hosted by Hostinger; the providers we use and where they are, are on our subprocessors page. This is how we meet the switching rules of the EU Data Act.
  • We may end the agreement with 30 days' notice, or immediately if you seriously breach these terms. If we stop offering Querly, we give at least 30 days' notice and refund any period you paid for but can no longer use.

8. How the contract is made

You fill in the order form on our website, accept these terms and the DPA, and pay on Stripe's page. The contract is made once the payment succeeds; Stripe emails you the receipt and the invoice. You can correct your details on the form before you continue to payment. We keep the contract details and the versions of these terms and the DPA you accepted, and send you a copy on request. The contract language is English.

9. Your data

Your call data remains yours. We process it only to provide Querly, as your processor under the DPA. How we handle the details of your account and billing is described in our privacy statement.

10. Licence and intellectual property

During your subscription you may install and use Querly for your business. You may not resell, sublicense or rent it out, or try to reverse engineer it except where the law allows. Querly, its software, design and texts remain ours or our licensors'. Querly includes open-source software, such as OpenWhispr under the MIT licence; those parts are covered by their own licences, which come with the app.

11. Availability and changes

We do our best to keep Querly working and to fix problems quickly. When a new version of the app fixes a security problem, we email you a link to install it. We don't guarantee that it is always available or free of errors. Querly depends on third-party services, such as speech recognition and language model providers, which can be unavailable. We may improve and change Querly. If a change significantly reduces what you pay for, we tell you in advance and you may cancel with a refund of the unused part of the period.

12. Liability

  • Our total liability under this agreement is limited to the amount you paid us in the 12 months before the event that caused the damage.
  • We are not liable for indirect damage, such as lost profit, lost deals, lost revenue or damage caused by decisions you take on the basis of AI suggestions.
  • These limits don't apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of our management.
  • You must report damage to us in writing within 12 months after you discovered it, or the claim lapses.
  • You indemnify us against claims of people in your calls that result from your breach of section 4.

13. Force majeure

We are not liable for failure to perform caused by circumstances beyond our reasonable control, including outages of the third-party providers Querly depends on, internet or power failures, and government measures.

14. Confidentiality

We keep confidential what we learn about your business through Querly, and use it only to provide the service.

15. Transfer to a successor company

We may transfer this agreement, including the Data Processing Agreement, to a company that continues Querly, such as a private limited company (B.V.) we set up for it, or a company that acquires Querly. You agree to that transfer in advance. We tell you by email at least 30 days before; the new company takes over all our rights and obligations under this agreement. If you don't agree, you may cancel before the transfer, with a refund of the unused part of the period. You may not transfer this agreement without our written consent.

16. Changes to these terms

We may change these terms. We email you at least 30 days before a change takes effect. If a change is to your disadvantage, you may cancel before it takes effect. The version and date shown on this page apply.

17. Law and disputes

Dutch law applies to this agreement. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Disputes are decided by the competent court in the district of Noord-Holland, the Netherlands. These terms are written in English; if we provide a translation, the English text prevails.
